Circuits West, LLC Terms and Conditions of Quotations and Sale

All goods and services are supplied under the terms and conditions set out herein and no addition or variation to these terms and conditions will have any effect unless expressly agreed in writing by Circuits West, LLC.
Quote Terms: All quotes are valid for a period of 30 days; Circuits West reserves the right to change price and delivery at any time. Payment Terms: All payments will made in united states dollars unless otherwise agreed too. Payment terms are Credit Card or COD unless other credit terms have been approved in writing by Circuits West. We accept Visa, MasterCard, and American Express. Credit Terms are available with an approved credit application. Limited Liability: Circuits West will not accept liability for any cost in addition to the value of the product, including but not limited to components, labor, business interruptions and any other consequential damages or losses. Circuits West disclaims any open-ended acceptance of liability for losses beyond the control of Circuits West. Circuits West is not liable for any costs related to order delays, and or shipment errors. Inventory: Circuits West, LLC does not store, keep, or otherwise promise to inventory any parts unless otherwise agreed to in writing by both parties. Order Cancellations: If an order is cancelled by a customer after the order has been put in process a prorated cancellation fee will be charged for cancelled orders depending on fabrication status at time of cancellation. Please contact your salesperson immediately and follow up with email to confirm and provide a written record for any verbal cancellation. Shipping and Handling: The customer is responsible for all shipping costs related to an order unless agreed otherwise by Circuits West. Shipping costs are not included in the quote unless specifically noted. All orders ship from Longmont, CO unless otherwise noted in the quote. All orders are subject to a $7.00 handling charge unless otherwise agreed too. International Shipments: Customers are responsible for their own import duties and fees on all orders. 90 Day Limited Warranty: This limited warranty is governed by and construed under the laws of the State of Colorado. Circuits West warrants its bare boards against defects in materials and workmanship under normal use for a period “Warranty Period” of 90 days from date of shipment. This limited warranty does not apply to the following: (A) to damage caused by use with non Circuits West products; (B) to damage caused by accident, abuse, misuse, flood, fire, earthquake or other external causes; (C) to damage caused by use of the product outside the permitted or intended uses described in the order specifications; (D) to damage caused by service performed by anyone who is not a representative of Circuits West; (E) to a product or part that has been modified to alter functionality or capability without the written permission of Circuits West. Warranty Claims: If a defect arises and a valid warranty claim is received within the warranty period, Circuits West will, at its option and to the extent permitted by law, for any bare boards that are returned and confirmed by Circuits West to be non-conforming to the order specifications and/or the applicable industry quality and acceptability standards, either (I) replace the product at no charge or, (II) issue a credit equal to the original purchase price of the product, (III) issue a refund equal to the original price of the product. When a product is exchanged, any replacement item becomes the customer's property, and the defective item becomes Circuits West property. When a refund is given, the product for which the refund is provided must be returned to Circuits West and becomes Circuits West property. To the extent permitted by law, this warranty and remedies set forth above are exclusive and in lieu of all other warranties, remedies, and conditions, whether oral or written, statutory, express, or implied. As permitted by applicable law, Circuits West specifically disclaims all statutory or implied warranties, including, without limitation, warranties of merchantability, fitness for a particular purpose and warranties against hidden or latent defects. If any term of this warranty is held to be illegal or unenforceable, the legality or enforceability of the remaining terms shall not be affected or impaired. Except as provided in this warranty and to the extent permitted by law, Circuits West, is not responsible for direct, special, incidental or consequential damages resulting from any breach of warranty or condition, or under any other legal theory, including but not limited to loss of use; loss of revenue, loss of actual or anticipated profits (including loss of profits on contracts); loss of the use of money; loss of anticipated savings; loss of business; loss of opportunity; loss of goodwill; loss of reputation; loss of damage to or corruption of data; or any indirect or consequential loss or damage howsoever caused including the replacement of equipment and property, any costs of recovering, programming or reproducing any program or data stored or used with Circuits West products. Circuits West disclaims any representation that it will be able to make a product exchange without risk of or loss of programs or data. Customer must assist in diagnosing issues with your bare board and follow Circuits West warranty processes. Privacy Policy: Circuits West recognizes that privacy is of utmost importance, and we do not sell or rent individual personal information to any third party. Information and data sent to us for the processing of orders may be shared with a manufacturing partner for quote or fabrication. In all cases, we require that manufacturing partners comply with our Privacy Policy and any other appropriate confidentiality, and security measures such as ITAR, etc. when applicable. Disputes: If you as our customer have any dispute against Circuits West with regards to an order, if the dispute cannot be settled through negotiation, any such dispute must first be submitted to mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to litigation. If any such mediation is unsuccessful, any litigation, proceeding or other legal action with respect to such dispute shall be brought exclusively in the district Court for Boulder County, Colorado. As a condition of our work, the customer consents to and expressly submits to the exclusive jurisdiction of such court and waives any claim of improper jurisdiction or lack of venue in connection with any dispute.
